Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Frames — the website at frames.ag, the FRAMES-F1 model, the API, and any related services (together, the “Services”), operated by Frames Engineering, Inc., a Delaware corporation (“Frames”, “we”, “us”). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Description of the Services

Frames provides an AI model and tooling optimized for fetching data from third-party data providers, executing multi-step research runs, and validating outcomes. The Services connect to a catalog of paid and free data providers and bill usage through credits. We may add, change, or remove features, models, or providers at any time. We are not liable for temporary outages, provider unavailability, or loss of generated content.

2. Accounts

You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account, and you must notify us promptly of any unauthorized access. You may not license, sell, or transfer your account without our prior written approval.

3. Subscriptions, Credits, and Billing

  • Paid plans grant a monthly credit allowance that is spent across runs, model usage, and data-provider calls. Unless stated otherwise on the pricing page, unused credits do not roll over.
  • Fees are billed in advance, are non-refundable except where required by law, and recur until you cancel. You can cancel at any time; access continues through the end of the paid period.
  • Credits have no cash value and may not be resold or transferred without our written permission.
  • We may change prices or billing methods with reasonable prior notice; continued use after a change takes effect constitutes acceptance.

4. Acceptable Use

You agree not to:

  • use the Services for anything unlawful, or in violation of the terms of the data providers your runs touch;
  • resell, redistribute, or systematically archive provider data beyond what your plan and the relevant provider permit;
  • circumvent rate limits, credit accounting, or access controls, or probe the Services for vulnerabilities without authorization;
  • reverse engineer the Services or use them to build a directly competing data-routing product;
  • submit content you do not have the right to process, including third-party personal data without a lawful basis.

5. Your Content

You retain ownership of the prompts, files, and other content you submit and of the outputs your runs produce. You grant us a worldwide, non-exclusive, royalty-free license to host and process that content as needed to operate, secure, and improve the Services. We do not share your prompts or run results with other customers, and we use only aggregated, de-identified performance data (such as tool success rates) to improve routing and reliability.

6. Third-Party Data Providers

Runs may query third-party providers on your behalf, and portions of your prompt may be transmitted to those providers to fulfill the request. Providers are independent services with their own terms and policies; we do not control and are not responsible for their data, availability, or conduct. Data returned by providers is supplied “as is” and may be incomplete, delayed, or inaccurate.

7. AI Outputs Are Not Advice

The Services generate output with AI models over third-party data. Output may contain errors and must be independently verified before you rely on it. Nothing produced by the Services is financial, investment, legal, tax, or other professional advice, and you are solely responsible for decisions you make based on it.

8. Intellectual Property and Feedback

The Services, including the FRAMES-F1 model, software, and branding, are and remain our property. If you send us feedback or suggestions, you grant us a non-exclusive, perpetual, irrevocable, transferable license to use them without restriction or compensation.

9. Privacy

Our Privacy Policy explains what we collect and how we use it. By using the Services you consent to those practices.

10. Termination

You may stop using the Services at any time. We may suspend or terminate your access for breach of these Terms with notice where practicable. Your data is retained while your account is active and deleted after account termination, except where retention is required by law. Sections that by their nature should survive (including Sections 5, 8, and 11–14) survive termination.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE OR COMPLETE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRAMES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY UNDER THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID US IN THE THREE MONTHS BEFORE THE CLAIM AROSE OR $100 USD. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You will indemnify and hold Frames harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Services, or your breach of these Terms.

14. Dispute Resolution and Governing Law

Before filing a claim, contact us at founders@frames.ag with a description of the dispute; we will try to resolve it informally within 60 days. These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Delaware, and you and Frames consent to their jurisdiction. Nothing in this section removes mandatory consumer protections of your country of residence.

15. Changes to These Terms

We may update these Terms from time to time. If a change is material, we will give notice (for example by email or an in-product notice) before it takes effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

16. Miscellaneous

We communicate with you electronically and you consent to receiving notices that way. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. If a provision of these Terms is found unenforceable, the rest remains in effect.
